Rebranded SIP Phone Licence Agreement

Before starting to use your rebranded SIP phone you must fully read the agreement and, by selecting the "I agree" checkbox, confirm that you agree with the terms of the agreement.

Within this agreement:
"you" and "your(s)" denote you, i.e, the natural or legal person who has created and is the user of the rebranded SIP phone provided by TiVi.

"we", "us" and "our(s)" denote the provider of TiVi Phone services - limited liability company Tivi, incorporated by the Latvian Enterprise Register under # 40103241776 and having its legal address in Riga, Stabu iela 54-6, LV-1011.

"parties" denote you and/or us.

"TiViPhone website" denotes our site on the worldwide web, www.tiviphone.com, as well as other websites of Tivi, Ltd.

"rebranded", "rebranding" denotes the possibility to change the name of the application, to change default configuration parameters of the application and to change the user interface of the application, to the extent and within the limits provided on the TiViPhone website.

"rebranded SIP phone", "SIP phone" denotes TiViPhone, a SIP phone software developed and owned by us, available via the TiViPhone website and for whose rebranded version you shall purchase a licence under the terms of this agreement.

1. Under this agreement you purchase a non-exclusive, perpetual, irrevocable, unlimited and resellable licence of the rebranded SIP phone. We retain all intellectual property rights (copyright, know-how, trademarks, patents, etc.) as the developer of the rebranded SIP phone and none of these intellectual property rights are transferred to you.

2. The licence fee for rebranded SIP phone is non-refundable. Before creating your own rebranded SIP phone with the automated template you can test the SIP phone as it is with the original TiViPhone available from our TiViPhone website.

3. The rebranded SIP phone can be used on PCs (Microsoft Windows XP and Vista operating systems).

4. All rebranding options for the SIP phone are displayed in the automated rebranding template on the TiViPhone website and you are entirely and solely responsible for the options and configurations you choose for your rebranded SIP phone version.

5. Once you have filled in all parameters that you wish to add to your rebranded SIP phone you can save the modified template. After the template has been saved it is still possible to change all its parameters, except the application name parameter and SIP server hostname parameter. If you wish to change these two parameters you have to purchase a new blank template of the rebranded SIP phone.

6. Once you have saved your SIP phone template you can buy your rebranded SIP phone licence for a fee of 199 EUR (one hundred ninety-nine Euros).

7. The licence includes the possibility to change template parameters (except the application name and SIP server hostname) 20 (twenty) times. After each change and saving of parameters you can download a different installation package of your SIP phone.

8. Each SIP phone installation package is generated and offered for download immediately after you have activated the web link "process" after having saved your changes with the automated SIP phone template.

9. All saved templates are valid for 60 (sixty) days from the day when they were created and saved. If you purchase the rebranded SIP phone, the countdown time for template validity restarts for a new period of 60 (sixty) days from the moment of purchase. During this period of 60 (sixty) days you must finish the process of configuring your rebranded SIP phone in order to receive the respective installation package.

10. Should it happen that you purchase your rebranded SIP phone licence but do not finish the configuration and do not download the installation package within 60 (sixty) days from the moment of purchase, you lose further opportunity to use the services covered by the licence fee paid.

11. If you have bought the licence and have changed and saved the template 20 times, you can start a new template and receive 20 (twenty) additional possibilities to save changes to it for a fee of 199 EUR (one hundred ninety-nice Euros).

12. Should you wish to receive technical support or consultation about your SIP phone, you can purchase our rapid support package for 75 EUR (seventy-five euros), which is valid for one support case.

13. Your rebranded SIP phone application's "About" field will contain information on us, the developer of the SIP phone, as well as any references required to third parties whose products have been used in its creation.

14. We guarantee the confidentiality of the information that you save in our system, and we shall not disclose it to any third party, except if under special circumstances as described in applicable law, law enforcement authorities might require such information from us.

15. You are responsible for preventing situations that could lead to unauthorised access by third parties to your account and saved templates.

16. Your rebranded SIP phone is provided to you "AS IS", without warranty of any kind. We disclaim and exclude all warranties, whether express, implied, or statutory, including but not limited to, the implied warranties of merchantability and fitness for a particular purpose. You bear the entire risk as to selecting the SIP phone for its purposes and as to the quality and performance of the SIP phone. You indemnify us against any kind of claims by any third parties with whom you have any kind of contractual or factual relation in connection with the rebranded SIP phone you have purchased under the terms of this agreement.

17. In no event we shall be liable for any direct or indirect damage related to the SIP phone, rapid support package or other services provided under this agreement that exceed the fees that you have paid us under this agreement. In no event and under no legal theory we shall be liable for any indirect, special, incidental, or consequential damages of any kind, including but not limited to, damages for loss of goodwill, work stoppage, computer malfunction, or any other kind of commercial damage, even if we have been advised of the possibility of such damages.

18. All fees mentioned in the present agreement are VAT inclusive. All payments of the fees are made with Paypal (www.paypal.com) through the interface available on the TiViPhone website.

19. The parties agree that the present agreement is entered into and becomes effective at the moment when you save your SIP phone template, after having selected the "I agree" checkbox.

20. The parties agree that the present agreement is entered into by electronic means and that all communication between the parties shall take place electronically. Both parties agree that communicating electronically is tantamount to exchange of paper-based signed documents and that both parties will recognise all of the materials sent electronically as a valid form of evidence in the case of a dispute arising between the parties in relation to the present agreement. This agreement and all matters arising out of or relating to this agreement are governed by the laws of the Republic of Latvia without reference to conflicts of laws norms. Should any dispute arise between the parties, they will first attempt to resolve it in a peaceful and friendly way, but if after 1 (one) month the dispute remains unresolved the parties may start legal proceedings at a Latvian court of law in the manner governed by applicable law.
